Правовая природа реорганизации юридических лиц

Abstract

Автором анализируются отдельные определения реорганизации юридического лица, показывается, что с помощью института реорганизации сохраняется стабильность гражданского оборота, обеспечивается правопреемство по всему комплексу прав и обязанностей в отношении третьих лиц, а следовательно, и прочность договорных и хозяйственных связей. Обращается внимание на правопреемство как необходимый признак реорганизации юридического лица, а также раскрываются его особенности.

The author analyzes some scientific definitions of the legal entity reorganization, shows that with the help of the reorganization institution, stability of civil turnover is maintained, legal succession is provided in the full range of rights and obligations in relation to third parties, and hence the strength of contractual and economic ties. Attention is drawn to the legal succession as a necessary feature of the reorganization of the legal entity, with disclosure of its features.
